Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the websites, products, and services provided by Outpost Apps Pte. Ltd. (“Outpost Apps”, “we”, “us”, “our”), including our website at outpostapps.com (the “Site”) and our Shopify applications, including LaunchLab Cart Upsell & Bundle and Snapshot: AI Image Generator (together, the “Services”).

By installing one of our applications, creating an account, or otherwise using the Services, you agree to be bound by these Terms and our Privacy & Cookie Policy. If you use the Services on behalf of a business, you represent that you have authority to bind that business, and “you” refers to that business. If you do not agree to these Terms, do not use the Services.

Our Billing, Cancellation & Refund Policy forms part of these Terms and summarizes how digital service delivery, renewals, cancellations, and charge reviews work.

1. Eligibility and accounts

The Services are intended for merchants operating stores on the Shopify platform and require an active Shopify account. You are responsible for maintaining the security of your Shopify account and for all activity that occurs through your store's use of the Services. You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Services.

2. Relationship to Shopify

Our applications are distributed through the Shopify App Store and operate on Shopify infrastructure. Your use of Shopify is governed by Shopify's own terms and policies, which we do not control. We are not affiliated with, endorsed by, or sponsored by Shopify Inc. If Shopify suspends or terminates your store, or changes its platform or APIs in a way that affects the Services, we are not responsible for any resulting interruption.

3. Fees, billing, and trials

The Services are digital software services delivered after you install and authorize an App through Shopify. Nothing is physically shipped, and physical return procedures do not apply.

• Billing through Shopify. All charges for the Services are billed through Shopify's billing system and appear on your Shopify invoice. Prices are in U.S. dollars unless stated otherwise.
• Subscription plans (e.g. LaunchLab) renew automatically each billing cycle until you cancel by uninstalling the app or downgrading your plan. Plan tiers may be subject to usage limits, such as monthly upsell revenue caps; if you exceed your tier's limit, we may require an upgrade for continued full functionality.
• Free trials convert to paid subscriptions at the end of the trial period unless cancelled before the trial ends.
• One-time credit packs (e.g. Snapshot image credits) are consumed as you use the relevant features. Credits are non-transferable. One credit corresponds to one image generation unless stated otherwise in the app.
• Refunds. Except where required by law or Shopify policy, consumed digital services are non-refundable. If you believe a charge was duplicate, unauthorized, erroneous, or affected by a material service failure, contact us within 30 days and we will review it in good faith under our Billing, Cancellation & Refund Policy.
• Price changes. We may change our prices with notice via the app, the Site, or Shopify. Changes apply from your next billing cycle.

4. AI-generated content (Snapshot)

• Your inputs. You retain ownership of the images and prompts you submit, and you grant us a license to process them solely to provide the Services (including sending them to our AI service providers to generate your requested images).
• Your outputs. To the extent permitted by law and subject to our providers' terms, we assign to you all rights we hold in the images generated for you. You are responsible for how you use them.
• No guarantee of uniqueness. AI systems may produce similar outputs for similar inputs for different users. We do not guarantee that generated images are unique, free of third-party rights, or fit for a particular purpose. You should review outputs before publishing them.
• Prohibited generations. You may not use the Services to generate content that is unlawful, infringing, deceptive (including images misrepresenting the physical product being sold), defamatory, or harmful.

5. Acceptable use

You agree not to:

• use the Services in violation of any applicable law or regulation, or of Shopify's policies;
• reverse engineer, decompile, or attempt to extract the source code of the Services;
• resell, sublicense, or provide the Services to third parties except as intended through your own store;
• interfere with or disrupt the integrity or performance of the Services, or attempt to gain unauthorized access;
• use the Services to transmit malware or conduct deceptive or fraudulent commerce;
• use automated means to access the Services other than through our supported interfaces.

6. Intellectual property

The Services, including all software, design, text, and branding (excluding your content and Shopify's property), are owned by Outpost Apps and its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your store's internal business purposes during your subscription. No rights are granted except as expressly set out in these Terms.

7. Feedback

If you send us feedback, ideas, or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or compensation.

8. Third-party services

The Services interoperate with third-party services (including Shopify, Intercom, and AI image-generation providers). We are not responsible for third-party services, and your use of them may be subject to their own terms and privacy policies.

9. Availability and support

We work to keep the Services available and performant, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features with reasonable notice where practicable. Support is provided via support@outpostapps.com and the Intercom chat messenger on the Site and inside our apps.

10. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL INCREASE YOUR SALES, AVERAGE ORDER VALUE, OR CONVERSION RATES; RESULTS DEPEND ON FACTORS OUTSIDE OUR CONTROL.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUTPOST APPS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM (OR USD 100 IF YOU HAVE PAID US NOTHING). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

12. Indemnification

You will indemnify and hold harmless Outpost Apps and its officers, directors, employees, and agents from any claims, damages, and expenses (including reasonable legal fees) arising from your content, your use of the Services in violation of these Terms, or your violation of any law or third-party right.

13. Termination

You may stop using the Services at any time by uninstalling the relevant app from your Shopify store. We may suspend or terminate your access to the Services if you breach these Terms, if required by law, or if we discontinue the Services. Upon termination, your license ends and we will handle your data as described in our Privacy & Cookie Policy. Sections that by their nature should survive termination (including Sections 6, 7, and 10–15) survive.

14. Governing law and disputes

These Terms are governed by the laws of Singapore, without regard to conflict-of-laws principles. The courts of Singapore have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the Services, and each party submits to that jurisdiction. Nothing in this section limits any mandatory consumer rights you may have under the laws of your place of residence.

15. General

These Terms, together with the Privacy & Cookie Policy, are the entire agreement between you and Outpost Apps regarding the Services. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We may update these Terms from time to time — we will post the updated Terms here with a revised date, and material changes will be notified via the Site or the apps. Continued use of the Services after changes take effect constitutes acceptance.
